All companies with private capital that earned up to 500,000 euros in revenue in 2016 are required to change their tax system by becoming a taxpayer on microfinance income. Basically, no private company with income under this ceiling can not pay a 16% tax rate, but is forced to apply the tax regime for micro-enterprises. The only companies that escape this obligation are those with social capital of at least 45,000 lei, who can choose which tax system they apply (micro or profit tax).
Regarding the ceiling to which a legal company can qualify as a micro-enterprise, it has grown from 100,000 euros, as it was from 1 January 2016, to 500.000 euros. Accordingly, a micro-enterprise is considered to be a legal entity if in the previous financial year did not exceed revenues of 500,000 euros, equivalent in lei, this means five times more than the previously established ceiling.
In addition to the increase of the ceiling for the "micro enterprise" category, OUG no. 3/2017 introduces a 1% tax rate for micro-enterprises with at least one employee hired under an employment contract. Previously, single-employee businesses applied a 2% tax rate, except for those newly established, who could, by way of exception to the aforementioned rule, apply a reduced rate of 1%.
Henceforth, a tax rate of 1% or 3% is applied to companies organized as micro-enterprises, as follows:
• 1% tax rate for micro-enterprises with at least one employee;
• 3% tax rate for micro-enterprises that do not even have an employee.

Employer impact en het activeren van de openstaande vacatures – twee must DO’s als werkgever of hr manager

Employer branding is nu nog te vaak ‘nattevingerwerk of windowdressing’ en de meeste bedrijven hebben geen ervaring met  ‘employer impact’.  Vandaag komt het erop neer dat u de kandidaat beweegt om op de apply link te klikken van uw bedrijf. Vandaag komt het erop neer dat de kandidaat zich laat informeren over jobs in uw bedrijf omdat deze bij U wil werken. De kandidaat heeft de kontrole maar u kan impact hebben op de kandidaat en deze bewegen om actie te ondernemen.
Dit doet u niet alleen met ‘employer branding’ u dient ‘employer impact’  te hebben.
Laat zien wie je bent  en wat je drijfveren zijn als werkgever. Het is van belang als je je daadwerkelijk wilt onderscheiden, authentiek wilt zijn en een verschil wilt maken. Het imago van de organisatie is een reflectie van de identiteit zoals werknemers en management die met elkaar vormen. Door gebruik van een batterij van digitale marketing technieken ga je deze boodschappen verankeren, je doelgroep bereiken en impact hebben op de kandidaten.
Hoe krijg je als werkgever een voorkeurspositie voor het aantrekken van nieuw personeel maar ook voor het behouden van je huidig personeel. 1. Knelpunten en shortage opvangen via Roemeense techniekers, ICT-ers en engineers
De markt van bvb ICT profielen heeft vandaag meer dan 6000 vacatures openstaan die moeilijk in te vullen zijn. U kan deze invullen met Roemeense software engineers ter plaatse of u laat ze naar België komen en ze krijgen een arbeidscontract in België.
Nog slechter is het gesteld met techniekers (elektriekers, monteurs, installateurs, isolatoren, loodgieters,  etc..). Wij recruteren de technische specialisten tegen een search fee en ze komen naar België. U schrijft ze in in België.
Wij zijn actief sinds 2003 in Roemenie en vandaag is het beter van de mensen ginder te laten werken of de mensen in te schrijven in België. De cosntructies met A1 formulieren zijn illegaal en van korte termijn. 3. Near shoring to Romania  as an alternative
Eén van de voordelen van nearshoring boven offshoring is dat vaak de culturele verschillen kleiner zijn en het verschil in tijdzones miniem zijn waardoor er operationeel gezien minder problemen zijn qua bereikbaarheid.
Voor de multi-lingual near shoring centers is er tegenwoordig een unieke optie om klanten in meerdere talen tegelijk te bedienen in een ‘low cost country': Roemenië!
Dit land ontwikkelt zich vooral voor talen als Italiaans, Spaans, Frans, Engels en Duits als het beloofde land. In Roemenië worden deze talen in een groeiend aantal multi-lingual near shoring centers gebruikt voor West-Europese en Amerikaanse klanten. Nergens ter wereld worden zoveel talen bij elkaar zo goed gesproken tegen zulke lage kosten als in Roemenië. Waarom gaat U naar Roemenië met uw near shoring activiteiten? Veel internationaal opererende bedrijven zoeken naar ‘low cost' oplossingen in bepaalde landen. Vaak kunnen ze daar dan maar met één specifieke taal terecht, bijv. Frans in Tunesië en Engels in India. Het kost veel geld, tijd en managementinspanning als er in meerdere talen een dienstverlening moet worden uitgevoerd die ook nog eens in verschillende vestigingen in meerdere landen en culturen in de wereld is opgezet. In de huidige situatie hebben we te maken met een dure vestiging in Nederland of België waar ‘natives' de relaties te woord staan. In de toekomst zullen we zien dat er een ‘low cost country' gezocht zal worden waar meerdere talen onder één dak bediend kunnen worden. Er zijn echter bijna geen landen te vinden, die en lage lonen hebben en waar veel talen op een goed niveau gesproken worden.
Derde punt waarom Roemenië als opkomend land zich sterk kan ontwikkelen, is de aanwezigheid van fris management. Zij zijn goed opgeleid, en denken meer volgens Westerse normen. Ze zijn zodoende ook prima gesprekspartners voor de opdrachtgevers in Nederland en België.
Een ander sterk punt is, dat de productiviteit van de werknemers in Roemenië als zeer goed wordt beschouwd. Dit komt mede door de goede opleidingen in Roemenië. De werkattitude is gemiddeld uitstekend en de mensen zijn ‘eager' om te presteren. Ook de wil om te leren is prima in de meeste gevallen. Daarnaast ontwikkelt ook de infrastructuur zich goed en er zijn ruim voldoende mogelijkheden aanwezig voor Internetgebruik, zoals we die ook hier in Nederland en België tot onze beschikking hebben.
Last but certainly not least: de lage loonkosten. Roemenië heeft qua loonkosten het laagste niveau van de EU. Besparingen van 45 tot 60% op de loonkosten haalbaar zijn, afhankelijk natuurlijk van de kostenopbouw hier in Nederland of België. Zoals ook bij ons, betaalt men voor hoger opgeleide werknemers meer.. Nog twee zaken over uitbesteden van bedrijfsprocessen tot slot.
Ten eerste heeft "uitbesteden" op zich heeft een aantal belangrijke voordelen voor uw bedrijf:
  • Flexibiliteit wordt groter, sneller opschalen is veelal eerder mogelijk
  • Perioden zonder project worden goedkoper - geen doorlopende loonkosten.
  • Geen trainingsinspanning en -kosten meer in Nederland of België
  • Geen uitgebreide management- en personeelsaandacht meer nodig, wel uitbestedingmanagement
  • In deze tijden erg belangrijk: het bedrijfsrisico wordt beter beheerst, omdat een deel van de bedrijfsactiviteiten en dus ook het risico bij ( plotseling) kwijtraken of aflopen van omzet/klanten/opdrachten, niet meer aanwezig zijn.
  • Lagere loonkosten, indien naar een lagelonenland uitbesteed kan worden.
  • Ten tweede is het belangrijk voor een ‘avontuur' (eigen vestiging, of uitbesteding van activiteiten) in Roemenië een betrouwbare partner te vinden voor de begeleiding in Roemenië en Belgie of Nederland. Dit kan u veel tijd, ergernis en geld besparen.

De voordelen van Roemenië als near shoring land op een rij:
  • Beschikbaarheid van veel talen: Frans, Duits, Italiaans, Spaans, Russisch, Engels (en Roemeens, Hongaars, Turks).
  • Beschikbaarheid van veel jonge mensen met technische kennis in combinatie met talenkennis.
  • Goed management.
  • Goed te coachen mensen.
  • Gemiddeld een hoge productiviteit van de Roemeense werknemers.
  • Aanwezige technische infrastructuur.
  • Lage loonkosten.
  • De voordelen volgend uit de Roemeense fiscale wet voor bedrijven zijn in dit stuk niet meegenomen

The Romanian government introduces the obligation to initiate collective negotiations when applying the latest fiscal measures on transfer of contributions

As of 1 January 2018, pension and health insurance contributions are to be deducted directly from employees’ gross salaries .  The Law mentioned as of 1 January 2018, the amount of social contributions paid on employment income will be as follows:
Contributions deducted from gross salaries:
Pension insurance contribution – 25%
Health insurance contribution – 10%
A work insurance contribution of 2.25% of the gross salary due by employers
Additional pension insurance contributions of 4% and 8% due by employers for particular and special working conditions, respectively.
While the new levels of pension and health insurance contributions are lower than those currently in force (i.e. 26.3% and 10.7%, respectively), should employers decide to maintain current levels of staff net income (i.e. by increasing gross salaries), then the amount of social contributions paid to the state budget will increase.
For employees currently subject to the 16% income tax rate, this increase will be counterbalanced by the reduction to 10% of the income tax rate.
For income tax exempt employees (e.g. IT employees, disabled persons), the fiscal impact on net salaries and on the employers’ labour costs will need to be assessed carefully.
In view of the transfer of social contributions, the Government published Emergency Ordinance no. 82/2017, which introduces the following obligations: 

During the period 20.11.2017 to 20.12.2017, employers that do not have collective labour agreements in place will be obliged to initiate collective negotiations to implement the transfer of social contributions; 


  • During the same period, employers that already have collective labour agreements in place must negotiate (on a collective basis) addendums to these agreements for the same purpose; 
  • In cases where trades unions affiliated to a representative union federation are not present the negotiations may be attended by representatives of the union federation and of the employees; 
  • In cases where there are no trades unions, the negotiations may be attended by representatives of the employees together with a representative of the union federation at industry/national level.
The obligation to initiate or carry out collective negotiations applies to all employers, regardless of the number of employees. 
The Emergency Ordinance does not provide any specific sanctions in the event that its legal provisions are not observed.

Changes in the fiscal and labour code from 1 january 2018

We present some legislative news with impact in the field of labor law and tax law.
A.     CHANGES IN THE FISCAL CODE
Government Emergency Ordinance no. 79/2017 for amending and completing the Law no. 227/2015 regarding the Fiscal Code.
The new normative act includes several changes to the tax regime, among which:
Reducing social contributions to 3 (three) as: social security contributions (CAS), social security contributions (CASS)  and insurance contribution to work. Thus, mandatory social contributions will be the following:
1. the social insurance contribution (CAS) in the share of:
a) 25% due by the persons having the quality of employees and by the  natural persons for whom the social insurance contribution is payable according to the Fiscal Code;
b) 4% due to special labor conditions by natural persons  and legal entity who have the status of employers or are assimilated to them;
c) 8% due to special conditions of work and other working conditions, as provided by Law no. 263/2010 on the unitary pension system by natural persons and legal entity  who are or are assimilated to employers.
2. the social security contribution (CASS) in the 10% share due by natural persons who have the quality of employees or for which there is the obligation to pay the social insurance contribution, according to the Fiscal Code.
3. The insurance contribution for the 2.25% share of the work due by the natural and legal persons who are or are assimilated to employers.
In fact, it can be seen from the above that the total share of mandatory social contributions has been reduced by a total of 2 percentage points, respectively from 39.25% to 37.25%, and the fiscal burden of mandatory social contributions obligations was transferred from the employer to the employee in the case of salary and salary income.
Reducing the income tax rate from 16% to 10% for salary income and assimilated to salaries, from independent activities, from disposal of property use, from investment (less income from dividends, for which the tax quota of 5 %), pensions, agricultural activities, prizes and other sources.
Modification of the applicable conditions for the listing of legal entities as micro-enterprises, including by increasing the registration ceiling from 500,000 Euro to 1,000,000 Euro;
According to the new normative act, the sanctioning of an economic agent with the refusal to deduct VAT is possible only if there is evidence that he has clear information about the activity of the evasion companies with which he entered into commercial relations.
B.     MODIFICATIONS REGARDING WORKING RELATIONS
According to article VIII of GEO no.82 / 2017 for the amendment and completion of some normative acts - the initiation of collective bargaining is mandatory, for the implementation of the provisions of Government Emergency Ordinance no. 79/2017 for amending and completing the Law no. 227/2015 regarding the Fiscal Code.
As with the legislative amendments in GEO no. 79/2017, starting with 01.01.2018, the employees' net salaries will decrease due to the increase of the social contributions due by them, the employers are obliged to start the negotiations with the employees, between the 20th of November and the 20th of December.
Employers who do not initiate the negotiation will be sanctioned with a fine ranging from 5,000 lei to 10,000 lei according to Article 217 paragraph (1) letter b) of the Social Dialogue Law no.62 / 2011.
